FIN. MAR. Holding SpA

Identity and Transformation Originally incorporated in May 2021 as an S.r.l. by the entrepreneurial vision of brothers Giuseppe and Gian Marco Martini, the company transformed into a Joint-Stock Company (S.p.A.) in December 2023, reaching a share capital of 10 million euros. Fin. Mar. Holding’s vision is clear: to act globally as “enablers and integrators of innovation” applied to the entire infrastructure lifecycle, ready to embrace market changes and support digital and technological evolution.

From the EPCM Model to the EPCMFT Paradigm The core of the group’s strategy is to transform from a group of service firms into a complete infrastructure supply chain. This evolution is marked by the transition from the traditional EPCM model to the advanced EPCMFT (Engineering, Project, Construction, Management, Financing and Technology) paradigm. At the heart of this approach are strict ESG (Environmental, Social, and Governance) principles and alignment with the EU Taxonomy, combining sustainable finance with real social and economic impact to mitigate risks.

Cutting-edge Governance and Business Ethics Fin. Mar. Holding stands out for its highly modern corporate governance policies: management must be between 28 and 40 years old, fluent in at least three languages, and ensure strict gender balance (50% male, 50% female) and geographic diversity (50% European, 50% non-European). On an ethical level, the group voluntarily applies the stringent Italian 231 anti-corruption model (extending it to foreign subsidiaries) and has issued philanthropic directives dedicating an annual percentage to charity projects.

Three Strategic Hubs and Upcoming IPOs To effectively address global megatrends like decarbonization, artificial intelligence, and digital infrastructure, the Holding has divided its portfolio into three main strategic areas, each destined for a specific stock exchange listing:

  1. Energy (Mattei Energia): Named in tribute to the iconic Italian entrepreneur, this hub is targeting an IPO in Abu Dhabi within 1 year. Its crown jewel is Romelectro SA, a historic Romanian company with 54 years of experience, operating across the board from renewable energy and thermal power plants to mini-nuclear reactors.
  2. Environment and Technology (è-Cluster, Martini Tech): Aiming for the London Stock Exchange in 2 years. This division looks to the future with P TECH srl, specializing in “Digital Twins” that bridge physical and cyber domains using AI and real-time sensors to manage infrastructure safely, and So.ge.dron srl, focusing on aerial and underwater logistics drones for ports.
  3. Construction (Todini Costruzioni Generali): A hub aiming for a listing in Milan within 3 years. Anchored by Todini (active since 1957 on monumental projects like the Kariba Dam and the Rome subway), this pole is also evaluating the acquisition of a major Italian company with a staggering €3 billion order book.

Global Footprint and International Partnerships To further expand its operational scale and technological capabilities, the Holding has signed strategic partnerships with international giants such as Mapa Group (Turkey), Organi Group (Egypt), Sirius Holding (UAE), and Black Buffalo 3D (a global leader in 3D construction printing).

The Numbers of Success The group’s companies bring a collective legacy of over 100 years of activity, operating in more than 50 countries across 5 continents. Their impressive track record includes over 1,000 completed projects, such as more than 4,000 km of roads, over 50 thermo-hydroelectric power plants, and 5 gigawatts of renewable energy capacity. Financially, the 2025-2028 Business Plan projects explosive growth, aiming for a turnover of €2.87 billion and a profit of roughly €210 million by 2028.

Driven by the philosophy of “Technological Humanism” and supported by over 3,000 dedicated employees, Fin. Mar. Holding SpA does not just build; it proudly represents “the future of infrastructure”.
